1. Scope of Services
Lumenia Lab provides custom software development, web application development, mobile application development, AI software development, SaaS platform development, and related consulting services. All work is undertaken as described in the project proposal or statement of work agreed between both parties.
No work begins until a written agreement, deposit payment, and project scope have been confirmed. Preliminary conversations, emails, and calls do not constitute a binding commitment to undertake work.
2. Project Proposals and Change Requests
Each engagement begins with a written proposal outlining the agreed scope, timeline, and cost. This proposal forms part of the contract between you and Lumenia Lab.
Any changes to the agreed scope after work has commenced must be submitted in writing and will be assessed for additional cost and timeline impact. Lumenia Lab reserves the right to pause delivery pending written approval of scope changes. Work that falls outside the agreed specification will not be delivered without a formal change order and additional compensation.
3. Payment Terms
Payment schedules are outlined in each project proposal. The standard structure is a deposit (typically 40 to 50 percent of the total project fee) due before work begins, with the remainder due at agreed milestones or upon delivery.
Invoices are payable within the number of days stated on the invoice. Lumenia Lab reserves the right to pause or suspend work on any project where payment is overdue by more than 7 calendar days. All fees are quoted in USD unless otherwise stated.
Fees are non-refundable once work on the relevant milestone has commenced, except where Lumenia Lab has materially failed to deliver as agreed.
4. Intellectual Property
Upon receipt of full and final payment, you receive full ownership of the final deliverables produced specifically for your project, including source code, design files, and documentation.
Lumenia Lab retains ownership of any general-purpose tools, libraries, or code patterns developed prior to or independently of your project. These are licensed to you royalty-free for perpetual use within your project.
Unless you request otherwise in writing before the project begins, Lumenia Lab reserves the right to display completed work in its portfolio and marketing materials. If your project is confidential, please state this at the outset and we will exclude it from all public-facing materials.
5. Confidentiality
Lumenia Lab treats all client information, business logic, data structures, and project details as confidential. We do not share client project information, data, or source code with third parties without your explicit written consent, except as strictly necessary to deliver the project (for example, hosting providers or third-party API services).
We are happy to sign a mutual non-disclosure agreement if your project requires it. Please request this before work begins.
6. Warranties
Lumenia Lab warrants that all work will be delivered with reasonable skill and care, and will materially conform to the agreed specification at the point of delivery.
We do not warrant that software will be entirely free of bugs indefinitely or that it will operate without interruption in all possible environments. Where a post-delivery support period is included in the agreement, defects identified during that period will be resolved at no additional cost. Issues arising from changes made to the codebase by you or a third party after delivery are not covered under this warranty.
7. Limitation of Liability
Lumenia Lab's total liability in connection with any project is limited to the total fees paid by you for that project. We are not liable for any indirect, consequential, incidental, or special losses, including loss of profits, loss of data, or loss of business, even if advised of the possibility of such losses.
This limitation applies to the fullest extent permitted by applicable law.
8. Termination
Either party may terminate an engagement by providing written notice. The following applies when you choose to terminate:
Milestone in progress. If work has commenced on a milestone, that milestone's payment becomes due in full regardless of when you terminate.
Work already delivered. Any work completed and handed over to you remains yours upon settlement of all outstanding invoices.
Termination by Lumenia Lab. If Lumenia Lab terminates an engagement due to non-payment or material breach of this agreement, all outstanding amounts become immediately due and deposits paid are non-refundable.
9. Governing Law
These terms are governed by the laws of Pakistan. Lumenia Lab operates from Lahore, Pakistan. Both parties agree to attempt good-faith resolution of any dispute before pursuing formal legal remedies. Where a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.
10. Updates to These Terms
Lumenia Lab may update these terms from time to time. The version published on this page at the time your engagement begins governs that engagement. We will notify active clients of material changes by email where possible.
